Terms of Service

1. Acceptance of Terms

By engaging Dev Sply (“Service Provider”) and using our services, the client (“Client”) agrees to these Terms of Service. If you do not agree, please do not use our services.

2. Services Provided

Dev Sply offers website design, development, and related digital services. The scope of services will be defined in each proposal, agreement, or invoice.

3. Client Data & Materials

The Client is responsible for providing all necessary content, images, branding, and materials required to complete the project.

By submitting content or materials to Dev Sply, the Client grants Dev Sply a limited license to use, modify, and store such data solely for the purpose of completing the agreed-upon services.

The Client represents and warrants that they have all rights, licenses, and permissions to use and share such materials with Dev Sply.

4. Intellectual Property

Upon full payment, all final deliverables (e.g., website files, designs) will become the property of the Client.

Dev Sply retains the right to display the work in its portfolio and marketing materials.

5. Payment & Refunds

All payments are due according to the invoice terms.

Payments are non-refundable once work has commenced.

Late payments may incur additional fees as outlined in the invoice or service agreement.

6. Limitation of Liability

Dev Sply is not liable for any indirect, incidental, or consequential damages resulting from the use of the delivered services or materials.

The Client is responsible for ongoing website maintenance, hosting, and security unless otherwise agreed upon in writing.

7. Termination of Services

Either party may terminate services with written notice. In such cases, the Client remains responsible for payment for all work completed up to the termination date.

8. Independent Contractor

Dev Sply is an independent contractor and not an employee, partner, or agent of the Client.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the state in which Dev Sply operates.

Privacy Policy

1. Information Collection

Dev Sply may collect personal information provided by the Client, such as names, email addresses, phone numbers, login credentials, and project-related files.

This information is collected solely for the purpose of delivering the agreed-upon services.

2. Use of Information

Client data will only be used to provide, manage, and complete services.

Dev Sply does not sell or rent Client data to third parties.

3. Communication & Consent

By checking the consent boxes on forms, the Client agrees to receive the following:

Transactional Messages: These include account notifications, order confirmations, appointment reminders, and other service-related updates. Message frequency may vary. Message & Data rates may apply. Reply HELP for help or STOP to opt-out.

Marketing Messages (optional): These include promotional offers, discounts, and updates on new services. Message frequency may vary. Message & Data rates may apply. Reply HELP for help or STOP to opt-out.

Clients may opt-out of marketing messages at any time without affecting access to services.

4. Data Security

Dev Sply takes reasonable steps to protect Client data from unauthorized access, alteration, or disclosure.

However, no method of storage or transmission is 100% secure, and Dev Sply cannot guarantee absolute security.

5. Data Retention

Project files and related Client data may be stored for record-keeping and portfolio purposes unless the Client requests deletion in writing.

Sensitive information (such as login credentials) will only be stored for as long as necessary to complete the project.

6. Client Rights

Clients may request access, correction, or deletion of their personal data at any time by contacting Dev Sply directly.

By engaging Dev Sply, providing data, and checking consent boxes, the Client acknowledges and agrees to this Terms of Service & Privacy Policy.
